Your statutory rights are not affected by any of the following terms and conditions
- A 'Project' is any work undertaken or service provided by Taxeia Infotech for the Client on their request and as described in our confirmation order email to that Client.
- A 'Client' is a person, persons, business or organisation using any of the services provided by Taxeia Infotech.
- 'Live Mode' means the date the website is available on the Client's chosen domain.
- 'Domain' is the website address as specified by the Client.
- 'Hosting' is a yearly cost to keep a Clients website activated online.
1. Services and Conditions of Use:
Taxeia Infotech agrees to provide you with information and other services that we may decide to offer, subject to the terms of agreement. These terms and conditions are subjected to change without notice, from time to time in our sole discretion. We will notify you of amendments to these terms and conditions by posting them to our website.
2. Terms and Conditions General:
Taxeia Infotech never start the work of a website without receiving the necessary contact details of its client (Name, Address and Telephone Number). In order to switch the website on live, it’s mandatory that the address proof needs to be provided.
We will commence the work of your website only when you agree to the terms and conditions stated in our website.
Taxeia Infotech will carry out work only where an agreement is provided either by email, mail or Client's login area. Taxeia Infotech will carry out work only for Clients who are 18 years of age or above. An 'order' is deemed to be a written and verbal contract between Taxeia Infotech and the Client; this includes telephone and email agreements.
Quotations submitted by Taxeia Infotech shall remain open for acceptance by the Client for a period of 14 (fourteen) days from the date of the Quotation (unless in the Quotation some other period is specified) or when Taxeia Infotech withdraws the Quotation. The minimum length of any ongoing website services purchased will be 12 months.
The Client shall, at the time of submission of an Order to Taxeia Infotech, pay to Taxeia Infotech a non-refundable deposit for the Services specified on the Order of 25% of the value shown on the Order ("Deposit").
3. Website Design
Taxeia Infotech will make every effort to ensure that the website and any scripts or programs are free of errors; Taxeia Infotech cannot accept responsibility for any losses incurred due to malfunction, the website or any part of it.
The website, graphics and any programming code remain the property of Taxeia Infotech until all outstanding accounts are paid in full.
Any scripts, php scripts, dotnet scripts, graphics, web program, web applications or software (unless specifically agreed) written by Taxeia Infotech remain the copyright of Taxeia Infotech and may only be commercially reproduced or resold with the permission of Taxeia Infotech.
Taxeia Infotech cannot take responsibility for any copyright infringements caused by materials submitted by the Client or on the website after it is opened to public. We reserve the right to refuse any material of a copyrighted nature unless adequate proof is given of permission to use such material.
The Client unconditionally agrees and guarantees that all texts, graphics or other artwork furnished to Taxeia Infotech for the web design project are owned by the Client, or that the Client has permission from the rightful owner. The Client agrees to protect and defend Taxeia Infotech and its subcontractors from any claim or suit arising from the use of such elements furnished by the Client.
Once the website has been made public, any additions or corrections provided by the Client will be carried out at the discretion of Taxeia Infotech and there will be an additional charge per page for such extras.
The Client agrees to make available as soon as is reasonably possible to Taxeia Infotech all materials required to complete the site to the agreed standard and within the set deadline of 45 days. If the Client fails to supply required materials within the specified time Taxeia Infotech hold the right to cancel the project.
Taxeia Infotech will not be liable for costs incurred, compensation or loss of earnings due to the failure to meet agreed deadlines.
Taxeia Infotech will not be liable or become involved in any disputes between the site owner and their Clients and cannot be held responsible for any wrongdoing on the part of a site owner. eg. Any disputes regarding content/images that have been provided to us for inclusion on the site.
Taxeia Infotech will not be liable for any costs incurred, compensation or loss of earnings due to the work carried out on behalf of the Client or any of the Clients appointed agents.
Taxeia Infotech will not be liable for any costs incurred, compensation or loss of earnings due to the unavailability of the site, its servers, software or any material provided by its agents.
The Client has to supply a brief description, navigation requirements about their web project and also has to supply texts, contents, images, payment gateway details, any third party software and applications to be integrated in the website.
Any fees or charges for third party software, applications and stores like eBay, Amazon, should be paid by the Client. Any third party advertisement campaigns like Google ad words, yahoo etc should be paid by the Client.
Taxeia Infotech is not responsible to take back ups or save any files of the website; the Clients have to do the necessary arrangements for the same.
All creation files remain the intellectual property of Taxeia Infotech on completion of a web design project. Taxeia Infotech shall be free to reproduce, use, disclose, display, exhibit, transmit, perform, create derivatives works, and distribute any item from the Clients web pages unless specifically agreed to do otherwise. Further, Taxeia Infotech shall be free to use any ideas, concepts, know how or techniques acquired in the construction of web sites for any purpose whatsoever including but not limited to developing, manufacturing and marketing products and any other items incorporating such information unless specifically agreed otherwise
4. Application and E-Commerce Development
Taxeia Infotech cannot take responsibility for any losses incurred by the use of any software created for the Client. Whilst every care has been taken to ensure products are problem free and accurate, the ultimate responsibility lies with the Client in ensuring that all software is functioning correctly before use.
Where applications or sites are developed on servers not recommended by Taxeia Infotech, the Client is expected to provide or seek any information, additional software, support or co-operation pertaining to the server required in order for the application to be correctly developed. Where large applications are to be developed, it is the Client's responsibility to provide a suitable testing environment which is identical to the final production environment.
The Client is expected to test fully any application or programming relating to a site developed by Taxeia Infotech before being made generally available for use. Where "bugs", errors or other issues are found after the site is live, Taxeia Infotech will endeavor (but is not obliged to) to correct these issues to meet the standards of function outlined in the brief.
5. Customer Obligations:
The Client should agree to co-operate with and assist Taxeia Infotech in the performance of the services requested pursuant to this Agreement and will provide the resources necessary for Taxeia Infotech performance hereunder as specified in the work order.
The Client will make available to Taxeia Infotech at least one qualified staff member who will have authority to act on behalf of the Client, provide information and data concerning Client's operations and activities, advise Taxeia Infotech of Client's requirements and provide access to Client's facilities at all reasonable times during the performance of the services required pursuant to this Agreement.
The Client has to provide a proof of address and landline number to make sure that the Client's website activities are carried out from UK postal address.
Taxeia Infotech will endeavor to ensure that any developed/designed site or application will function correctly on the server it is initially installed in and that it will function correctly when viewed with the web browsing software Microsoft Internet Explorer Version 6 and to an acceptable level with Mozilla browsers. Taxeia Infotech can offer no guarantees of correct function with all browser software.
7. Website Hosting
Whilst Taxeia Infotech recommends hosting companies to host websites, no guarantees can be made as to the availability or interruption of this service by Taxeia Infotech cannot accept liability for losses caused by the unavailability, malfunction or interruption of this service, or for loss of turnover, sales, revenue, profits or indirect, consequential or special loss.
When a Client renews "hosting" with Taxeia Infotech, this also includes Domain renewal if the renewal is needed to keep the site functioning and was purchased as part of the hosting package. If the Client does not renew the hosting, their Domain name could be made available to the public for purchase and Taxeia Infotech cannot be held liable for this.
Renewal of "hosting" is due on a yearly basis. The date of renewal will be annually from the date the website was ordered by the Client. The "hosting" will not be renewed if we cannot contact the customer or the customer requests for us to not host this site. This will also affect the Domain as per item 16.
The hosting renewal charge must be received within 30 days of the hosting expiry date. We reserve the right to deactivate any website where the hosting has expired and the Client has not paid the renewal charge. There will be an admin fee set by Taxeia Infotech for reactivating the website / hosting.
Taxeia Infotech reserve the right to refuse to handle in any way, material which may be deemed offensive, illegal or in any way controversial, and also to terminate the free hosting service should the necessity arise.
8. Website Optimization
Due to external factors, such as changes to the way search engines rank websites, we cannot offer any guarantees regarding the position we will achieve for websites. The process of optimizing websites itself will bring in more traffic and hits and you'll see visits increase to your site naturally. We cannot accept liability for any change in rankings, or drop off in the position of your website due to changes in the algorithms of the search engines or the factors that they use to rank websites.
We use 'white hat techniques' when optimizing websites and always aim to achieve a top ten ranking for your website within six months of undertaking the optimization process, but we cannot offer any guarantees regarding the position we will achieve for websites in 6 months. Due to the work involved payment is generally required in advance and we are unable to offer a refund of any kind to Clients in relation to this type of work.
9. Intellectual Property Rights And Other Consents
You are solely responsible for obtaining any and all necessary intellectual property rights clearances and/or other consents and authorization’s in respect of the Services, including without limitation, clearance and/or consents in respect of your proposed domain name and merchant services agreements between you and the relevant banks in respect of your operation of an Online Store.
You agree to indemnify and keep indemnified and hold us on demand harmless from and against any claim brought against us by a third party resulting from the provision of Services by us to you and your use of our services, and in respect of all losses, costs, actions, proceedings, claims, damages, expenses (including reasonable legal costs and expenses), or liabilities, whatsoever suffered and howsoever incurred by us in consequence of your breach or non-observance of these terms of business.
11. Payment of Accounts
The late payment fee will be levied on the final invoice which is paid after 30 days from the date of issue of the respective invoice.
Taxeia Infotech will not do a non-cost editing of a content/s which is notified after 30 days from making a site live.
Further editing of a content/s which is notified after 30 days from making the site live will be charged depending upon the complexity of the work.
The Client shall make all payments due to Taxeia Infotech by cheque (supported by an appropriate cheque guarantee card) or by bankers draft or in cash or electronic transfer direct to the company bank account or by third party payment gateways like PayPal.
If the Client fails to pay any amount due to Taxeia Infotech under this Agreement on the relevant due date, default interest at the rate specified by the Late Payment of Commercial Debts (Interest
A deposit is required from any new Client before any work is carried out. It is the Taxeia Infotech policy that any outstanding accounts for work carried out by Taxeia Infotech or its affiliates are required to be paid in full, no later than 30 days from the date of the invoice unless by prior arrangement with Taxeia Infotech.
Once a deposit is paid and work completed you are obliged to pay the balance of payment in full. We will contact Clients via email and telephone to remind them of such payments if they are not received when due.
If accounts are not settled or Taxeia Infotech have not been contacted regarding the delay, access to the related website may be denied and web pages removed, we will then pass such cases to the Small Claims Court to pursue payment, nonpayment can result in county court judgments (ccj's) being added to the Clients credit rating.
Following consistent nonpayment of an invoice our Solicitors will contact the Client in question, with a view to taking the matter further and if need be to seek payment through legal procedures, and if necessary court summons.
Taxeia Infotech will only commence work on a Project after receipt of 50% deposit of the quoted project fee from the Client or otherwise agreed by Taxeia Infotech. The final 50% payment is to be made on completion of the website. We will not refund a deposit after 14 days of work commencing. The website will be switched to Live Mode once the Clients remaining balance is paid in full.
12. Your Privacy
We do not share or sell any of your details with third party companies, without your express permission and we will only email you or contact you about work related matters.
13. Complaints Procedure
Informal procedure: Anyone who experiences a problem with their web service provided by Taxeia Infotech should raise the matter directly using our online contact form to do so, giving sufficient information to locate the material (such as an url) and clearly outlining the grounds for complaint. Taxeia Infotech will approach the individual responsible for the material in question with a view to resolving the matter to the satisfaction of the complainant.
Formal complaints procedure: The formal complaints procedure should only be used where the complainant feels that the nature of the complaint is too serious to be dealt with informally, or where a satisfactory conclusion has not been reached after following the informal procedure. A formal complaint should be made in writing to Taxeia Infotech, who will acknowledge receipt and ensure that the matter is looked into as soon as possible. An initial response to any complaint can be expected within seven days of its receipt; a full and considered response to the complaint should be completed within 30 days and any subsequent remedy implemented with the minimum of delay.
We may terminate this agreement forthwith if you fail to pay the amount due or any outstanding amounts due. We may terminate this agreement upon written notice if you breach any of these terms and conditions and you fail to correct the breach within seven (7) days following written notice from us specifying the breach, or if you are a company you go into insolvent liquidation, or if you are a person you are declared bankrupt. On termination of the agreement we shall be entitled immediately to block your Web Site and to remove all data located on it. We will hold such data for a period of seven (7) days and allow you to collect it at your expense, failing which we shall be entitled to delete all such data. We shall further be entitled to post such notice in respect of the non-availability of your Web Site as we think fit. We may terminate or suspend any web site which is deemed to be causing a disruptive service to our Clients as a whole.
You may terminate your account with us if we cannot resolve any technical issues or problems concerning our services within a reasonable amount of time. You will receive a refund for the remainder of the contract term. However, we will not refund any used parts of the service.

When you order services through our website, you have 3 options for making your payment.
Credit Cards: You can make payment using PayPal through our website. We accept Delta, Visa, MasterCard and American Express.
Cheques: We also accept cheques. We will need approximately 5 working days to process cheque payments before setting up our services.
Bank Transfers: You can also pay us through bank transfers.
